1.1 This website profitbuy.uk is owned and operated by Profitbuy Limited. trading as ProfitBuyz. Our company information for Profitbuyz is located at the conclusion of this document.

1.2 These Website Terms of Use (“Terms”) govern the use of the ProfitBuy ecommerce platform including its content, software and services offered through it.

1.4 Please be advised that these Terms are intended to supplement any other agreements, guidelines, and policies that ProfitBuy may release periodically.

2. Definitions

2.1 Where we refer to “Customer” below we mean an individual that purchases an item(s) from profitbuy.uk website and mobile app or uses our website and mobile app.

2.2 “Platform” means our website or mobile app.

2.3 “Seller” means a vendor, distributer, wholesaler, or manufacturer that the product(s) is published and sold by ProfitBuy

3. Important information

3.1 All products displayed on the ProfitBuy E-commerce are sold by third party independent sellers. ProfitBuy provides the platform and acts as commercial agent for the customers. ProfitBuy’s agreements with sellers authorise ProfitBuy to conclude the sale of products to customers. This means that the sellers have permitted ProfitBuy to display product on the platform to sell. Whatever condition/policy/contract on any product is in agreement with the Seller.

3.2 ProfitBuy does not exert direct control over products or deliveries. When payment is made by a Customer, the funds are paid to ProfitBuy in its role as commercial agent for the Seller. Payment by the customer to ProfitBuy settles the debt owed by the Customer to the Seller. Any refund the customer is entitled to will be made by the Seller via the same payment method used by the Customer to make payment. In the event of sellers failing to comply with the Seller Terms, ProfitBuy undertakes to process the refunds due to Customers on behalf of Sellers. All purchases made via the ProfitBuy E-commerce are automatically covered by ProfitBuy Protection.

3.3 By using ProfitBuy E-commerce, you agree to the following terms and conditions:

• You must provide truthful, accurate, current, and complete information about yourself.
• You must adhere to these Terms and other policies outlined on ProfitBuy E-commerce.

4. Changes to the Terms and Conditions

4.1 ProfitBuy reserves the right to modify these Terms of Use by publishing an updated version on the ProfitBuy E-commerce website at any time. We encourage you to periodically review the ProfitBuy E-commerce website for any updates. By continuing to use the ProfitBuy E-commerce following the effective date of any changes, you indicate your acceptance and agreement to be bound by the revised Terms of Use.

You agree in connection with the ProfitBuy E-commerce:

6.2 You will not publish or send any information (including links or references to other content) or otherwise behave in a way, which is unlawful, fraudulent, deceptive, defamatory, threatening, harassing, invasive of privacy, offensive, vulgar, racist, hateful, discriminatory, obscene, pornographic, sexually suggestive, promoting of self-harm, misleading, abusive or deceptive.

6.3 To adhere to our guidelines, refrain from engaging in fraudulent activities, phishing, or any other similar behaviour. Additionally, avoid publishing or sending any information that contains personal data of someone else (i.e., anything that could be used to identify or contact an individual), unless you have obtained explicit written consent from the individual, or they are 18 years or older and you are their legal guardian.

6.4 You will not impersonate any person or entity for the purpose of misleading others;

6.5 You will not reproduce, copy, sell or resell access to the ProfitBuy E-commerce;

6.6 You will not use the ProfitBuy E-commerce to provide a similar service to third parties or otherwise with a view to competing with ProfitBuy.

6.7 You will not sell advertising, sponsorship or promotions on or in connection with content except where explicitly authorised by ProfitBuy.

6.8 You will not use the ProfitBuy E-commerce for junk mail, spam, pyramid or similar or fraudulent schemes.

6.9 Do anything which may have the effect of disrupting the ProfitBuy’s E-commerce including worms, viruses, software bombs, mass mailings, disproportionate or vexatious use of ProfitBuy’s Customer Care Team;

6.10 use the ProfitBuy E-commerce to send abusive, sexually explicit or discriminatory messages to ProfitBuy or third parties;

6.11 gain unauthorised access to any part of the ProfitBuy E-commerce or anything connected to it;

6.12 use any automated means to interact with ProfitBuy’s systems excluding public search engines;

6.13 do anything which ProfitBuy reasonably believes inappropriate or may negatively affect other users’ enjoyment of the ProfitBuy E-commerce; and

6.14 attempt, encourage or assist any of the above.

7. Payment Terms and Conditions

7.1 Payment is due in advance and that prices and payment methods are clearly outlined in our Service. The prices displayed include any relevant VAT or sales tax, unless otherwise stated. Please note that we reserve the right to withhold delivery of goods until we have received full payment in cleared funds.

7.2 Delivery charges costs will be shown when you place your order and may depend on the delivery method chosen.

7.3 In the event of a mispriced item, we reserve the right to withdraw the product if it hasn’t been dispatched yet. If this does occur, we will inform you of the pricing mistake and you can decide whether or not to proceed with the purchase at the correct price. If you opt not to continue with the purchase, we will cancel your order and provide a full refund of any payments made.

7.4 You must contact us immediately with full details if you dispute any payment.

8. About discount codes

8.1 We may offer discount codes from time to time. All discount codes refer to the price excluding delivery charges. Such codes may only be applied to purchases made through the account in respect of which the discount code was offered and registered and are not transferrable or redeemable for cash.

8.2 Unless otherwise stated, codes are only available for future new orders placed online; and cannot be used retrospectively.

8.3 The discount code can only be redeemed once per customer, and the expiration date is at our discretion.

8.4 Unless otherwise stated, only one discount code can be used per transaction.

8.5 If multiple discount codes are allowed, the order in which they are applied is solely at our discretion.
8.6 We maintain the right to refuse any discount code that violates these policies. It’s important to note that discount codes are subject to additional specific terms and conditions that are outlined at the point of issue.

8.5 We retain the right to terminate or adjust any discount codes at any point, without prior notification.

9. Disclaimer Regarding General Information on ProfitBuy E-commerce

9.1 You recognize that any information published or transmitted on or via ProfitBuy E-commerce by other users is the exclusive responsibility of the creator of such content.

9.2 Please note that ProfitBuy cannot guarantee the accuracy or timeliness of any general information available on the platform. As a user, you assume all risk and are solely responsible for your reliance on the information provided.

9.3 ProfitBuy retains the right to modify, remove, or suspend content without prior notice or refund. Additionally, ProfitBuy reserves the right to disclose any content or behaviour that violates its terms of service to relevant authorities or complainants to protect ProfitBuy or others. Such measures may also be taken if a criminal act has been committed or if ProfitBuy is required to do so by law or appropriate authority.

10. Delivery
10.1 The delivery process concludes when the item(s) are delivered to the address specified during the order placement. It is possible that the order will be delivered in segments on various dates.

10.2 Our delivery service is restricted to UK residents and is subject to any geographical or other limitations specified on our Service. We reserve the right to cancel orders destined for locations outside of our delivery area. Should we opt to deliver outside our standard delivery area, any additional costs incurred will be charged to you.

10.3 Unless we say otherwise, delivery timescales on our platform are estimates only. We aren’t responsible for delays in delivery (a) if due to circumstances beyond our reasonable control and where we could not have taken reasonable steps to deal with the delay or (b) if you haven’t given us adequate delivery instructions.

10.4 In the event of a failed delivery attempt, you are responsible for contacting the courier promptly, using the information provided to rearrange delivery. If no one is available to receive the goods, we may leave them in a safe location such as the doorstep, hall, or reception, or with a nearby neighbour.

10.5 If you are unable to receive your delivery due to non-compliance with the delivery address or failure to coordinate with the courier for re-delivery after an unsuccessful attempt, resulting in the return of the goods, you will be required to pay for any courier or warehouse fees incurred. We reserve the right to demand payment before arranging the re-delivery of your order, add the fees to any future orders, or deduct them from any refunds in accordance with legal regulations.

11. Your Customer Account

11.1   By creating a customer account on ProfitBuy E-commerce, you agree that it is for your personal use only and cannot be transferred to third parties without written consent from ProfitBuy. You are solely responsible for safeguarding your account password and other identifying details, and should not permit third parties to access your account. Please ensure that you take reasonable precautions to keep your account information confidential.

11.2 You must notify ProfitBuy immediately of any apparent breach of security such as loss, theft, misuse or unauthorised disclosure or use of a password by contacting ProfitBuy Help and Support Centre.

11.3 It is your responsibility to monitor third-party usage of your account or identity, except in cases where ProfitBuy is at fault.

11.4 ProfitBuy maintains the right to suspend or terminate a customer account, including the removal of any data contained within, and deny access to any part of the ProfitBuy E-commerce platform, should there be a violation of any of these Terms.

 12.  ProfitBuy’s Intellectual Property Rights

12.1 All content, including the ProfitBuy E-commerce structure, trademarks, logos, graphics, images, photographs, animations, videos, text, and software are the property of ProfitBuy or its partners, suppliers or other users. You may view such material on your screen and make a single copy for personal use, but any other use, including but not limited to sublicensing, retrieval, display, modification, copying, selling, distribution, downloading, hiring, reverse engineering (unless permitted by applicable law), or creating extracts or derivative works, requires ProfitBuy’s prior written consent.

 12.2 All users grant ProfitBuy the license and permit to utilize their content for the purpose of promoting and delivering ProfitBuy’s E-commerce services. This usage may occur on the ProfitBuy E-commerce platform as well as on other channels, including various websites, social media platforms, and emails, for marketing purposes.

 13. Disclaimer Regarding Third-Party Websites and Services

 14. Liability

14.1 It’s essential to note that this agreement does not impose any limitations or exclusions on ProfitBuy’s liability concerning negligence resulting in personal injury or death, fraudulent misrepresentation, or anything prohibited by law. This section applies to ProfitBuy, including its employees and agents.

14.2 Before incurring any costs in resolving an issue for which ProfitBuy may be potentially liable, you must provide ProfitBuy with a reasonable opportunity to address and remedy the matter.

14.3 Please note that ProfitBuy and its employees or agents will not be held liable for any losses or damages sustained by customers where there is no breach of a legal duty of care owed to them by ProfitBuy or such loss or damage is caused by you, for example by not complying with these Terms and Conditions

 14.4 We will not be held responsible for any loss or damage that was not foreseeable. This means that if the loss or damage was not an obvious consequence of our breach or was not considered by both parties at the time of entering into this agreement, we will not be liable.

14.5 If you are a Customer, you will be liable for any reasonably foreseeable loss or damage ProfitBuy suffers arising from your breach of this agreement or misuse of the ProfitBuy E-commerce (subject to ProfitBuy’s obligation to mitigate any losses).

 15 Law & Jurisdiction

15.1 The jurisdiction for these Terms is governed by English law, and any legal disputes that arise shall be resolved exclusively in the courts of England.

16. Notice Provision by ProfitBuy

16.1 In accordance with these Terms, ProfitBuy reserves the right to send any notices via email to the email address that you have most recently provided (unless otherwise specified).

16.2 Headings used in these Terms are for information and are not binding. Any failure by either party to exercise or enforce any right or provision of these Terms shall not constitute a “waiver” (i.e. that it cannot be enforced later).

16.3 If any of the aforementioned provisions are deemed invalid or unenforceable by a court of law, such a provision shall be replaced with an alternative provision that achieves the same objective as much as possible. The remaining provisions shall remain in full effect and continue to apply.

16.4 ProfitBuy may transfer its rights pursuant to these Terms to a third party but this will not affect your rights or obligations. You may not transfer your rights or obligations without ProfitBuy’s prior written consent.

16.5 Unless expressly stated otherwise, individuals who are not parties to these Terms have no right to enforce them.
